Contract for overhaul and maintenance of Bangkok Mass Transit Authority (BMTA) buses

Represented the Winstar-DTC Consortium, consisting of Winstar Equipment Co., Ltd. and D.T.C. Enterprise PCL, in negotiating and finalising a major contract with the Bangkok Mass Transit Authority (BMTA) for the overhaul and maintenance of 486 NGV buses THB 969 million (~ USD 29 million).

Bangkok mass transit Green Line project negotiated settlement

Represented the Bangkok Mass Transit System Public Company Limited (BTSC) in negotiating a Settlement Agreement for outstanding debt under the Sales and Installation of the Electrical System Agreement of the extension of the BTS Skytrain Project in Bangkok, due from one of its contractual parties. Despite the debt being originally due in 2021, BTSC had not received any payment. However, after prolonged negotiations, BTSC has now received approximately THB 23 billion in payment from the state agency.

Bangkok monorail Green Line extension concession E&M contracts

Represented a private sector entity in connection with the drafting, negotiation, and execution of the Electrical and Mechanical contract for the extension of the mass transit Green Line (North-South) from Bearing to Samut Prakan and Mo Chit to Kukot, with an estimated value of THB 52.97 billion (~ USD 1.6 billion).

Laem Chabang Deep Sea Port concession contract

Represented the government agency in connection with the drafting, negotiation, and execution of the concession contract to develop the Laem Chabang Deep Sea Port Phase III with the estimated project value is of 150 billion (~ USD 4.8 billion). Upon completion, this port will be one of the largest seaports in ASEAN.

Contract management for Bangkok’s Green Line mass transit concession

Represented the concessionaire of the Bangkok monorail Green Line in connection with the contract management of the operation and maintenance contract (O&M) and the electrical and mechanical contract (M&E) of the Green Line concession. The management of these two contracts are essential to our client’s operation of the Green Line. We have actively coordinated with the Office of the Council of State and the Office of the Attorney General to obtain opinions regarding the validity of our client’s contracts. Thus, we are able to monitor the Bangkok Metropolitan Administration’s performance as the counterparty. Our responsibility is to ensure that our client receives fair and timely remuneration services running the largest mass transit system in Thailand. The Green Line is the first and main urban mass transit line in the Bangkok Metropolitan Region, spanning 68.25 kilometers with 60 stations throughout Bangkok, Nonthaburi, Samut Prakan, and Pathum Thani with an estimated value of THB 52.97 billion (~ USD 1.6 billion). It serves an estimated 250,000 passengers daily, and constitutes an essential part of greater Bangkok’s transport infrastructure.

Legal framework for the development of the Eastern Airport City

Represented the concessionaire throughout the planning phase of the Eastern Airport City development project. Our role involved structuring the legal framework for various aspects, including building control, public utilities (water, electricity, telecommunications), environmental conservation, energy usage, tax, customs, hospitals, hotels, and entertainment venues. This complex planning process required integrating diverse fields of law and regulations. Additionally, we negotiated with the Eastern Economic Corridor Office (EECO), the supervisory authority for the U-Tapao International Airport project. Our engagement established a commercially feasible development outline accepted by both the concessionaire and the EECO. This allowed seamless planning and compliance, minimizing legal and regulatory risks. Beyond the legal dimensions, we also advised our client on achieving commercial objectives, particularly in relations to investors such as telecommunications providers.

Development of U-Tapao International Airport

Represented the concessionaire in connection with the development of the new airport facilities at U-Tapao International Airport, which is located in the Eastern Economic Corridor. Our client is developing facilities at U-Tapao International Airport, including the implementation of advanced terminal technology, development of cargo facilities and cargo village, asl well as improvements to runways and taxiways. This project is the first airport concession project and the largest concession project in Thailand. It aims to increase the passenger capacity to 12 million passengers per year. We assisted our client during the design and construction phases by ascertaining legal and regulatory compliance as well as adherence to the design specifications, safety standards, and project schedule.

Pilot biorefinery plant contract management

Represented the private sector in connection with the development of a pilot biorefinery pilot plant in the Eastern Economic Corridor. This is a cooperation between our client and the National Science and Technology Development Agency (NSTDA) to develop the first biorefinery plant in Thailand. We engaged and coordinated with the NSTDA to negotiate on various aspects of this project. This includes amendments to the financial structuring and resolving challenges in the procurement of the equipment required. This is the first pilot biorefinery plant in Southeast Asia with a value of over THB 3 billion (~ USD 87 million). The objective is to pioneer clean energy generation through bio-based products, marking an important step in the development of sustainable energy production.

Bangkok monorail concession Pink and Yellow Line EPC contracts

Represented a private sector entity in connection with the preparation, drafting and negotiation of the Engineering, Procurement and Construction (EPC) contract for the construction of Bangkok’s Yellow and Pink monorail lines. These are the first monorail transportation projects in Thailand, with value of THB 50 billion (~ USD 1.59 billion), and THB 53 billion (~ USD 1.69 billion), respectively.

Joint Use Agreement of U-Tapao International Airport

Represented the concessionaire in connection with the Joint Use Agreement (JUA) between our client and the Royal Thai Navy. This JUA is a pioneering agreement in Thailand as it is the first collaborative agreement between a private party and the military. The purpose of this JUA is to establish terms and conditions for the parties to share and utilize existing airport facilities at U-Tapao International Airport which is managed by the military. We assisted our client in the drafting of the JUA, addressing potential issues for both our client and the military, specifically allaying any national security concerns, leading to a successful signing. Our responsibilities extend beyond the closure, to monitoring the performance of both parties, ensuring that our client’s interests are met.

Development of the first EEC Smart City

Represented a government agency in connection with the development of new smart city in Eastern Thailand. This project is the first development of key facilities in the Eastern Economic Corridor. Our role encompassed conducting a feasibility assessment, structuring development plans for each section of the city, and drafting and negotiating key project contracts and other legal documents, as well as advising on the implementation of various regulations related to the development and operation of the smart city.

Drafting of the U-Tapao International Airport project Master Plan

Represented the concessionaire, U-Tapao International Aviation Co., Ltd., in developing the Master Plan for the U-Tapao International Airport project. The Master Plan is crucial for the project’s success, as it guides compliance with contractual obligations. TTT+Partners assisted in drafting the plan, ensuring regulatory and legal compliance, as well as aligning provisions with technical requirements for design, construction, operation, and maintenance. As the first of its kind in Thailand, the Master Plan plays a pivotal role in meeting passenger and flight demand and fostering development in the Eastern Economic Corridor and beyond.
