CGIF guarantee supporting THB-Denominated bond issuance
Advised the Credit Guarantee and Investment Facility (CGIF), a trust fund of the Asian Development Bank on its proposed THB 1.5 billion (~ USD 41 million) guarantee to the investor in fully THB-denominated bonds to be issued by Northeast Rubber Public Company Limited. The scope of work included drafting and negotiating bond documentation governed by Thai law, preparation and review of all related transaction documents, including bond issuance agreements, guarantee documentation and advising on Thai law issues, including securities regulations and corporate governance.
Mortgage as collateral for bond issuance
Advised Credit Guarantee and Investment Facility (CGIF), a trust fund of the Asian Development Bank, on mortgage of totaling 16 land plots of Vongsayam Korsang Co., Ltd., as security to the bond issuance guaranteed by CGIF, with maximum mortgaged amount of THB 1.95 billion.
Margin loan facility and security over listed securities
Represented a French bank acting through its Hong Kong branch in its acceptance of the shares listed on the Stock Exchange of Thailand as collateral in relation to the cross-border margin loan facility of USD 80 million.
Project financing for M6 Motorway
Represented the financial institutions providing project financing for the Bang Pa-in – Nakhon Ratchasima Intercity Motorway (M6) project with a value of THB 5.31 billion (~ USD 152 million).
Project financing for M81 Motorway
Represented the financial institutions providing project financing for the Bang Yai – Kanchanaburi Intercity Motorway (M81) project with a value of THB 4.22 billion (~ USD 121 million).
Credit facility agreements for telecommunications company
Represented one of biggest telecommunication companies in Thailand as a borrower under credit facility agreements with various major Thai and Japanese commercial banks.
Bridge facilities for retail acquisition
Advised a leading Thai trading company on the EUR 3.2 billion (~ USD 3.6 billion) bridge facilities provided by a syndicate of international banks, for an acquisition project in the retail sector.
Syndicated loan for the largest Thai beverage company
Represented the largest Thai beverage company in securing a USD 1.95 billion international syndicated loan as part of the financing for an acquisition project. Five major Thai banks provided the remaining financing, aggregating THB 100 billion. This was the highest value financing deal in Thailand in 2017.
