TTT+Partners represented portfolio company 10 Bridge Co., Ltd. on its investment in Westminster International Co., Ltd. and Win Education Service Co., Ltd., a preeminent education consultancy and authorized IELTS Test Centre in Thailand. The businesses operate the largest computer-based IELTS testing venue in Bangkok, with seven central branches and multiple provincial locations.
The target also provides integrated overseas education advisory services for the UK, US, and Australia, representing more than 200 international institutions. The acquisition involved cross-border financing from an offshore lender together with a strategic joint venture.
The deal represents a significant investment in the education sector and featured a sophisticated transaction structure, enabling the successful completion of the acquisition. Our team worked closely with the client throughout the process, providing end-to-end legal support from legal due diligence and advising on transaction structuring, to drafting and negotiating the transaction agreements and guiding the deal through the successful closing of both the financing and acquisition.
