Media company aiming to expand its stake in broadcast business
Represented GMM Grammy Public Company Limited (Grammy) in securing a call option agreement with Mr. Pitharn Ongkosit as the grantor. This agreement grants Grammy the exclusive right to acquire shares in a holding company wholly owned by Mr. Ongkosit, with its principal asset being a 10% equity stake in The ONE Enterprise Public Company Limited (ONEE), one of the industry leaders in media and entertainment. The exercise period for this option expires in February 2025, with the transaction’s total value surpassing THB 900 million (~ USD 25 million).
Thai fertility clinic IPO
Represented Safe Fertility Group Public Company Limited, a company providing comprehensive fertility services with cutting-edge medical technology in Thailand, and North Haven Thai Private Equity L.P., a fund managed by Morgan Stanley, in their initial public offering of its 76,746,800 ordinary shares and listing of its shares on Stock Exchange of Thailand (SET).
Liability Management for PTTEP
Represented PTTEP in its liability management exercise. The transaction consisted of a transfer of all outstanding debentures of the USD 490,000,000 Senior Debentures due in 2042 issued by PTTEP Canada International Finance Limited (PTTEP CIF) and guaranteed by PTTEP (the “2042 Notes”) to PTTEP Treasury Center Company Limited (PTTEP TC); and a tender offer by PTTEP TC to purchase the 2042 Notes and the USD 650,000,000 Senior Debentures due in 2059 issued by PTTEP TC, and guaranteed by PTTEP (the “2059 Notes”). The 2042 Notes and the 2059 Notes are both listed on the Singapore Exchange Securities Trading Limited (SGX-ST). The transaction enabled PTTTEP to liquidate its Canadian subsidiary and to eliminate the requirement to gross up for interest payments on the bonds. The total repurchase amount was USD 81.89 million.
Trust fund of a regional development bank
Represented a trust fund of a regional development bank in connection with the legal aspects of the guarantee to be provided by the fund of S$195 million (~ USD 138.2 million) in unsecured bonds issued by a Singaporean subsidiary of a listed Thai company.
Industrial real estate, logistics and utilities company
Advised a leading company in logistics, industrial estates, utilities and power and digital services, on their corporate restructuring, initial public offering and listing (spin-off) of one of their subsidiaries on the SET, valued at THB 6.02 billion (~ USD 174.8 million).
Hospitality and real estate company
Represented a hotel and restaurant operator and real estate developer, in its THB 750 million initial public offering on the Stock Exchange of Thailand.
Telecommunications infrastructure lease
Advised a telecommunications company in relation to the lease of its 2300 MHz network equipment, as well as the 2300 MHz network domestic roaming service, to another operator.
Home furnishings company initial public offering
Represented a leading retail home furnishings company with 36 branches in Thailand and a network of retailers in seven countries, in its THB 2.31 billion initial public offering.
Regional development bank trust fund
Represented a trust fund of one of the major development banks, on the issuance of Partially Guaranteed Bonds for a Thai gas and petrochemicals company.
Group of international banks
Represented a group of three major international banks in relation to a global chemicals company’s liability management transaction, involving a tender offer to purchase its outstanding USD 1 billion 4.25% Senior Unsecured Notes due 2022 from existing holders and the subsequent issuance by an affiliated entity of like-kind notes, guaranteed by the chemicals company.

On 12 May 2026, the Cabinet approved in principle the new draft ministerial regulation under the Foreign Business Act B.E. 2542 (1999) (the “FBA”) which aims to remove double enforcement in relation to securities and derivatives business, among others, in the general piece of legislation, the FBA. The proposed regulation will reduce overlapping regulatory oversight in circumstances where such businesses are already subject to supervision by the Office of the Securities and Exchange Commission of Thailand (the “SEC”). If the draft regulation becomes effective, certain securities and derivatives businesses may be operated without the need to obtain a foreign business licence or foreign business certificate from the Ministry of Commerce. This Insight focuses on the securities businesses in relation to the new draft regulations only.
