Parithat also represents various issuers and underwriters in securities offerings in Thailand. Before joining the firm, he was a corporate lawyer at a leading international firm based in the UK. Represented Royal Bangkok Healthcare, a subsidiary of Bangkok Dusit Medical Services in the THB 150 million acquisition of a 28.89% stake in Lansing Business System Co., Ltd. from I&I Group Public Company Limited.

Advised Frasers Property (Thailand) PCL on its THB 265 million acquisition of a 30% stake in Frasers Property Industrial REIT Management (Thailand) Co., Ltd., and its subsidiary on the purchase of 48 million REIT units in FTREIT from Mitsui & Co. (Asia Pacific) Pte. Ltd.

Represented Mitsubishi Corporation (MC) in the capacity as a Thai legal counsel in connection with MC's first "unregulated" general offer launched with the purpose to increase its additional shareholding in Thai Union Public Company Limited (TU), a Thailand-based seafood company listed on the Stock Exchange of Thailand (SET), from 6.19% to 20% (excluding treasury shares).

Advised Plan B Media Public Company Limited on its THB 4 billion (~USD 123 million) acquisition of Hello Bangkok LED Company Limited from multiple sellers, including Roctec Global Public Company Limited, a company listed on the Stock Exchange of Thailand. In connection with the transaction, Plan B Media also issued 285,714,286 new ordinary shares through a private placement to selected investors, including VGI Public Company Limited, raising over THB 2 billion to fund the acquisition.

Advised TRA Land Development Company Limited on a major real estate joint venture valued at THB 2.2 billion.

Represented an advertising company in its THB 650 million acquisition of the entire shareholding of a billboard business.

Advising Global Power Synergy Public Company Limited (GPSC) on the acquisition of shares in Global Renewable Power Co., Ltd. (GRP) with a value of THB 1.275 billion (~ USD 29 million).

Advised Thai Beverage PLC on a share swap agreement with TCC Group valued at SGD 2.1 billion.

Advised a consortium of buyers, consisting of Yip in Tsoi, The Brooker Group, SCT Car Rent Co., Ltd. and Loxbit PLC, in the acquisition of Purple Ventures Co., Ltd., the provider of the innovative a Thai food delivery, rides and more platform, Robinhood, valued at around THB 2 billion (~ USD 59 million).

Advising Nuovo Plus Company Limited on its asset to share swap with 24M Technologies Inc., valued a USD 51.08 million.

Assisted Innopower Co., Ltd. the investment arm of the Electricity Generating Authority of Thailand, in its G-round investment in Sharge Management Co., Ltd., a leading EV charge start-up business in Thailand. This transaction expands the portfolio of EV businesses invested by Innopower.

Represented the purchaser, a leading authorized luxury watches retailer in Thailand, to acquire 100% stake in another authorized luxury watches retailer in Thailand. The deal value is approximately THB 1.2 billion.

Represented International Beverage Holdings Limited (a member of the ThaiBev group) in their EUR 40 million acquisition of the “Larsen” cognac business from the Anora Group PLC, a leading Nordic distilled beverage and wine company. The proposed acquisition includes Larsen’s production site and eau-de-vie maturation stock in Cognac, France, as well as its cognac brands “Larsen”, “Renault” and “Monopol”, as well as its brandy brand “Ibis”.

Represented Tanachira Retail Corporation Public Company Limited in its historic partnership with British celebrity chef Gordon Ramsay. As a key milestone and addition to its portfolio of retail businesses,. The deal will see Tanachira introduce flagship Gordon Ramsay restaurants including “Bread Street Kitchen”, “Street Pizza”. “Street Burger” and “Hell’s Kitchen” to the Thai public over the next few years.

Represented International Beverage Holdings Limited (a member of the ThaiBev group) in the NZD 27.5 M (~ USD 17.3 M) acquisition of Cardrona Distillery group, a premium spirits distillery and manufacturer in New Zealand. This strategic acquisition establishes ThaiBev’s first formal presence in New Zealand and is part of ThaiBev’s strategy to expand its presence and portfolio in the New World premium spirits business.

Represented PTTEP in its liability management exercise. The transaction consisted of a transfer of all outstanding debentures of the US$ 490,000,000 Senior Debentures due in 2042 issued by PTTEP Canada International Finance Limited (PTTEP CIF) and guaranteed by PTTEP (the “2042 Notes”) to PTTEP Treasury Center Company Limited (PTTEP TC); and a tender offer by PTTEP TC to purchase the 2042 Notes and the US$ 650,000,000 Senior Debentures due in 2059 issued by PTTEP TC, and guaranteed by PTTEP (the “2059 Notes”). The 2042 Notes and the 2059 Notes are both listed on the Singapore Exchange Securities Trading Limited (SGX-ST). The total repurchase amount was US$ 81.89 million.

Represented a leading Bangkok-based international school and its stakeholders on a landmark strategic partnership with a global network of British international schools. The move will see the school join a family of over 50 international schools located in more than 15 countries around the world including Europe, Mexico & Central America, the Middle East, South America, Malaysia and the USA & Canada.

Represented a trust fund of a regional development bank in connection with the legal aspects of the guarantee to be provided by the fund of S$195 million (~ USD 138.2 million) in unsecured bonds issued by a Singaporean subsidiary of a listed Thai company.

Advised a leading company in logistics, industrial estates, utilities and power and digital services, on their corporate restructuring, initial public offering and listing (spin-off) of one of their subsidiaries on the SET, valued at THB 6.02 billion (~ USD 174.8 million).

Represented a major hospitality group in a joint venture with a major retail group for the development of a large-scale, mixed-use real estate project with an estimated value of THB 36.7 billion (~ USD 1.05 billion) in Bangkok's central business district.
